These Terms & Conditions ("Agreement") govern your access to and use of services provided by Signal Bloom LLC ("Signal Bloom," "Company," "we," "us," or "our").

By accessing our website, enrolling in services, or making payment, you agree to be bound by this Agreement. If you do not agree, do not use our services.

You must be at least 18 years old to use our services.

1. SERVICES PROVIDED

Signal Bloom provides subscription-based automation, CRM, AI, website, messaging, and marketing system services, including but not limited to:

  • Local Trust Builder

  • Connect & Capture (Website + AI Chat + SMS)

  • AI Employee

  • AI SMS Add-On

  • Hosting, automation, integrations, and system configuration

Services are provided on a month-to-month basis unless otherwise stated.

Signal Bloom does not guarantee specific business results, revenue, rankings, or performance outcomes.

2. FOUNDING MEMBER PRICING

Signal Bloom may offer discounted “Founding 5” pricing to the first five qualifying clients.

Founding pricing:

  • Remains valid only while the account remains continuously active and in good standing.

  • Is forfeited immediately upon cancellation, downgrade, or 30+ days of inactivity or non-payment.

  • Is non-transferable.

  • Cannot be reinstated once forfeited.

3. SUBSCRIPTIONS & BILLING

All services operate on a recurring monthly subscription basis.

By enrolling, you authorize Signal Bloom to charge your payment method on file automatically via Stripe.

Subscriptions automatically renew unless canceled prior to renewal.

A 3-day grace period may be provided at our discretion. After that, services may be suspended.

No refunds are provided for subscription fees, setup fees, usage charges, or partial billing periods.

4. SETUP FEES

Certain services require one-time setup fees.

Setup fees are non-refundable once onboarding work has begun.

5. COMMUNICATIONS & USAGE CHARGES

Platform subscription fees do not include usage costs.

Usage-based services may include:

  • SMS & MMS (inbound and outbound, billed per segment)

  • Carrier passthrough fees

  • Voice calls (inbound and outbound, billed per minute)

  • Conference call routing charges

  • Call recording fees

  • Call recording storage fees

  • Call transcription (if enabled)

  • Voicemail drops

  • Number intelligence services

  • AI voice processing

  • Text-to-speech usage

  • Any related telecom infrastructure charges

Important:

  • Calls are billed in full-minute increments and rounded up.

  • Usage charges apply regardless of delivery status once a delivery attempt is made.

  • Carrier filtering, blocking, spam labeling, or throughput limitations are outside our control.

  • Usage pricing may change at any time without notice.

  • Failure to pay usage charges may result in suspension.

6. A2P REGISTRATION & COMPLIANCE

Signal Bloom may absorb the one-time brand registration fee for the initial number only.

Clients are responsible for:

  • Monthly campaign registration fees

  • Providing accurate business information

  • Complying with all opt-in requirements

  • TCPA compliance

  • Message content compliance

Campaign rejection, filtering, or carrier penalties are not the responsibility of Signal Bloom.

7. PHONE NUMBER POLICY

Phone numbers provided through Signal Bloom:

  • Are licensed for use during active subscription.

  • Remain under Signal Bloom’s telecom provisioning account.

  • May be ported after 30 days of active service, provided the account is current.

  • Are not transferable if balances remain unpaid.

  • A2P registration does not transfer.

No port-out fee is charged.

8. CALL RECORDING & LEGAL COMPLIANCE

Signal Bloom enables call recording features.

You are solely responsible for complying with:

  • Federal and state call recording laws

  • Two-party consent requirements

  • SMS marketing regulations

  • Opt-in documentation requirements

Signal Bloom is not liable for your misuse of communication tools.

9. WEBSITE & DIGITAL ASSET RELEASE

If cancellation occurs before 12 months of active service, a $1,000 digital asset release fee applies for website structure transfer.

Client-owned content (logos, photos, written content) may be exported.

Signal Bloom proprietary systems—including automations, workflows, AI configurations, funnels, backend architecture, and templates—are not transferable.

10. DATA OWNERSHIP & RETENTION

Clients own their raw CRM contact and opportunity data.

Signal Bloom owns all proprietary:

  • Workflows

  • Automations

  • Funnel structures

  • AI configurations

  • System architecture

  • Templates

  • Backend configurations

Upon cancellation:

  • Data may be retained for 14–30 days.

  • Signal Bloom reserves the right to delete data at any time after cancellation.

  • Clients may request a CSV export of contacts and opportunities during the retention window.

  • No export of workflows, automation logic, AI systems, or funnel structures will be provided.

If migrating to another GHL agency, Signal Bloom may provide a CRM export and snapshot at its discretion.

11. CHARGEBACKS

Filing a chargeback results in immediate account suspension.

Signal Bloom reserves the right to:

  • Investigate disputes

  • Terminate service

  • Pursue collection of unpaid balances

12. INTELLECTUAL PROPERTY

All systems, automation structures, templates, AI prompts, backend architecture, and configuration methods remain the exclusive property of Signal Bloom.

Unauthorized duplication or replication is prohibited.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Signal Bloom LLC from any claims, damages, fines, penalties, or regulatory actions arising from:

  • Your misuse of the platform

  • Violations of communication laws

  • TCPA violations

  • Recording violations

  • Message content violations

  • Regulatory non-compliance

14. LIMITATION OF LIABILITY

Signal Bloom’s total liability under this Agreement shall not exceed the total subscription fees paid in the 30 days preceding the event giving rise to the claim.

Signal Bloom is not liable for:

  • Carrier filtering or blocking

  • Third-party outages

  • Loss of business

  • Indirect or consequential damages

15. ARBITRATION

Any dispute arising from this Agreement shall be resolved through binding arbitration in the State of Texas.

16. MODIFICATIONS

Signal Bloom reserves the right to modify these Terms at any time.

Continued use of services constitutes acceptance of updates.

17. SMS MESSAGING TERMS

By providing your mobile phone number and opting in to receive SMS communications from Signal Bloom LLC, you agree to the following:

Message Types

Signal Bloom may send SMS messages related to:

• Appointment reminders
• Service updates
• Account notifications
• Customer support responses
• Promotional or marketing communications (if applicable)

Message Frequency

Message frequency varies depending on user interaction and service usage.

Message & Data Rates

Message and data rates may apply based on your mobile carrier plan.

Opt-Out Instructions

You may opt out of SMS communications at any time by replying:
